Terms of Use
Last updated: October 11, 2026
These terms govern your use of gunix.io and set the baseline for working with Guni Innovations Pte. Ltd. (“Guni”, “we”, “us” or “our”). By using the Site you agree to them. If you use the Site on behalf of an organisation, you confirm you have authority to bind it.
1. Definitions
- “Site” means gunix.io and its pages and forms.
- “Services” means the AI engineering, implementation, consulting and operation services we provide to clients.
- “Engagement Terms” means any proposal, order form or written agreement between you and Guni for Services.
- “Client Content” means documents, files, data and other materials you give us or our systems in an engagement.
- “Output” means results produced for you in an engagement, such as flags, scores, extracted data and reports.
2. Using this Site
You may use the Site for lawful purposes and to learn about and contact us. Information on the Site is general and is not a quote, an offer or professional advice. A contract for Services exists only when we agree Engagement Terms with you in writing.
3. Services and engagements
Services are provided under Engagement Terms, which set out scope, the fixed monthly fee, and what is included. Our standard model is that we scope and build the MVP at no implementation fee, then operate it for a fixed monthly fee set in writing before we build. Work beyond the agreed scope is quoted separately, and third-party infrastructure and licence costs are paid by you directly.
If these Terms conflict with Engagement Terms, the Engagement Terms prevail.
4. Products
TamperCheck and OCRFire are products of Guni Innovations Pte. Ltd. with their own sites. Their use is governed by the terms published on each product's site, not by these Terms.
5. Client Content and your obligations
You may give us documents that contain personal, financial, health or other regulated data. You confirm that:
- You have the rights and lawful bases needed to give us Client Content for processing.
- You will comply with applicable privacy and data protection laws, including obtaining consent where required and honouring data subject requests.
- You will not use the Services to break the law, infringe rights or process data you are not authorised to process.
We process Client Content only to deliver the Services, on your instructions, as described in our Privacy Policy. We do not use Client Content to train AI models.
6. Acceptable use
You agree not to:
- Probe, scan or test the vulnerability of the Site or our systems without authorisation.
- Attempt to access data or accounts that are not yours.
- Overload the Site or circumvent rate limits or technical restrictions.
- Upload malware, unlawful content, or content intended to harm others or systems.
- Use the Site or Output to harass, discriminate or defraud.
We may restrict access to the Site if we reasonably believe these rules are being broken or the Site is at risk.
7. Fees and payment
Fees are set out in the Engagement Terms. Unless stated otherwise, fees exclude taxes. Late payment may lead to suspension of the Services, and we will give notice first.
8. Intellectual property
We and our licensors keep all rights in the Site, our software, tools and branding. You keep your rights in Client Content and give us permission to process it solely to provide the Services. Ownership of deliverables, code and licences is set out in the Engagement Terms.
9. Confidentiality
Each party will protect the other's confidential information with at least the care it gives its own, and no less than reasonable care. This does not cover information that is public, already known to the receiving party, independently developed, or lawfully received from a third party without restriction.
10. AI outputs
Output is assistive. It may contain false positives or false negatives, and it is not a legal, compliance or investigative determination. You remain responsible for validating Output in your context and for decisions you make using it.
11. Disclaimers
THE SITE IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES NOT STATED IN THE ENGAGEMENT TERMS, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GUNI AND ITS AFFILIATES, OFFICERS, EMPLOYEES AND SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA OR GOODWILL. OUR AGGREGATE LIABILITY ARISING OUT OF THESE TERMS OR THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, EXCEPT WHERE THE LAW PROHIBITS THIS LIMIT OR THE ENGAGEMENT TERMS SAY OTHERWISE.
13. Indemnity
You will defend and indemnify Guni against third-party claims, damages and costs, including reasonable legal fees, arising from your Client Content, your breach of these Terms or applicable law, or your infringement of a third party's rights, including the privacy rights of people whose data is in Client Content.
14. Ending an engagement
There is no lock-in contract: you may stop an engagement as the Engagement Terms provide. When you do, we provide a documented handover and a full export of your data. We may suspend or end Services for breach, risk to the Services or other clients, non-payment, or where the law requires. Provisions that by their nature should survive, including disclaimers, limits of liability, indemnity, confidentiality and governing law, survive ending.
15. Export controls
The Services may be subject to export control and sanctions laws. You agree to comply with them, and you confirm you are not located in, controlled by, or a national or resident of a country under comprehensive embargo, and are not on a sanctioned party list.
16. General
- Force majeure: neither party is liable for delay or failure caused by events beyond its reasonable control, including natural disasters, pandemics, acts of government, internet disruptions and third-party outages.
- Severability: if a provision is unenforceable it is modified to the minimum extent necessary and the rest stays in force.
- Waiver: failing to enforce a right does not waive it.
- Entire agreement: these Terms, the Engagement Terms and our Privacy Policy are the entire agreement on their subject. If they conflict, the order of precedence is the Engagement Terms, then any data processing agreement, then these Terms, then the Privacy Policy.
- Assignment: you may not assign these Terms without our written consent. We may assign them in a merger, acquisition or sale of substantially all our assets.
17. Governing law and disputes
These Terms are governed by the laws of the Republic of Singapore, without regard to conflict-of-law rules. The courts of Singapore have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Services, except where the law prohibits this. Before formal proceedings, each party will try in good faith to resolve the dispute informally. Engagement Terms may specify a different forum or governing law.
18. Changes
We may change these Terms by posting an updated version with a new date. For material changes we will give extra notice, for example by email. Continued use of the Site after the effective date means you accept the update; if you do not accept it, stop using the Site.
